Terms & Conditions
These terms govern the use of Quantellis services and define the responsibilities of all parties involved in a service engagement. We aim to be straightforward and fair in everything we outline below.
Definitions
For the purposes of these Terms and Conditions, the following definitions apply throughout this document:
- "Company," "We," "Us," or "Our" refers to Quantellis, registered and operating from 8 Jalan University, 46200 Petaling Jaya, Selangor, Malaysia.
- "Client" or "You" refers to any individual, company, or organisation engaging Quantellis for services.
- "Service" refers to any AI consulting, prototyping, research, or knowledge transfer engagement delivered by Quantellis.
- "Agreement" refers to the binding contract formed upon acceptance of these Terms, together with any signed project scope or proposal.
- "Deliverable" refers to any report, prototype, workshop material, or documentation produced by Quantellis as part of a project.
- "Confidential Information" refers to any non-public data, systems, processes, or business information shared by either party during a project engagement.
Acceptance of Terms
By engaging Quantellis services — whether through submission of a contact form, signing a project proposal, making payment, or commencing a project — you confirm that you have read, understood, and agreed to these Terms and Conditions in their entirety.
These Terms apply to all interactions with Quantellis, including website use, inquiries, and active project engagements. Continued use of our services constitutes ongoing acceptance.
Minimum age requirement: Clients must be at least 18 years of age or have the legal authority to enter into binding agreements on behalf of their organisation.
Service Description
Quantellis provides AI consulting and development services to organisations operating primarily within Malaysia, including but not limited to:
- AI Research & Feasibility Studies — structured evaluation of AI applicability to specific business challenges.
- Applied AI Prototyping — development of proof-of-concept AI systems with documented assumptions and performance benchmarks.
- AI Knowledge Transfer & Team Enablement — training programs and workshops designed to build internal AI capacity within client organisations.
Service availability is subject to project scheduling and resource capacity. Quantellis reserves the right to decline or postpone a project if capacity constraints or scope misalignment exist. We will communicate any such situation promptly and respectfully.
The scope, timeline, and deliverables of each service engagement will be defined in a separate project proposal or statement of work agreed upon by both parties prior to commencement.
Client Responsibilities
To enable successful project delivery, clients are expected to:
- Provide accurate, complete, and timely information relevant to the project scope.
- Designate a named point of contact who has the authority to make decisions on behalf of the client organisation.
- Make data, systems access, or documentation available as agreed in the project scope, respecting applicable data protection obligations.
- Respond to Quantellis queries and review requests within reasonable agreed timeframes to avoid project delays.
- Not use Quantellis deliverables for purposes that fall outside the agreed scope without prior written consent.
Prohibited activities: Clients may not use Quantellis outputs or knowledge to build systems intended to deceive, manipulate, or cause harm to individuals or communities. Any such use will result in immediate termination of the engagement.
Intellectual Property
Quantellis proprietary assets: All methodologies, frameworks, research approaches, tooling, and internal processes developed and maintained by Quantellis remain the intellectual property of Quantellis. These are not transferred to the client through any service engagement.
Client deliverables: Upon full payment of agreed fees, clients receive a non-exclusive, non-transferable licence to use the deliverables produced for their specific engagement. This includes reports, prototype code, and training materials developed specifically for the client's project.
Client data: All data provided by the client remains the property of the client. Quantellis will not use, share, or retain client data beyond what is necessary for project delivery, as further described in our Privacy Policy.
Restrictions: Clients may not resell, sublicence, or represent Quantellis deliverables as their own original research or methodology without prior written agreement.
Payment Terms
All fees are quoted and payable in Malaysian Ringgit (RM). Pricing listed on the Quantellis website represents standard starting rates and may be adjusted based on project complexity, scope, and duration as agreed in the project proposal.
Payment schedule: Standard engagements require a 50% deposit prior to commencement and the remaining balance upon delivery of final deliverables. Alternative schedules may be agreed for multi-phase projects.
Accepted payment methods: Bank transfer (preferred), PayNow-compatible transfers, and other methods agreed in writing. Quantellis does not accept cash payments.
Late payments: Invoices are payable within 14 days of issuance. Delays beyond this period may result in project pauses until outstanding balances are settled. We will always reach out to discuss any payment difficulties before taking such steps.
Cancellation and refunds: If a client cancels an engagement after work has commenced, Quantellis retains fees proportional to work completed. Deposits are non-refundable once project scoping work has begun. Full refunds are considered only in cases where Quantellis is unable to begin the agreed work.
Service-Specific Terms
AI Research & Feasibility Studies
Research findings and recommendations are based on information available at the time of the study. Quantellis does not warrant that conditions will remain unchanged, and clients are encouraged to revisit conclusions periodically as their context evolves. Feasibility reports represent considered professional assessments, not binding predictions of outcomes.
Applied AI Prototyping
Prototypes are developed to demonstrate feasibility and potential value, not as production-ready systems. All prototypes are accompanied by documentation clearly stating assumptions, data limitations, and known performance boundaries. Transitioning a prototype into a production system is the responsibility of the client and may require additional development work beyond the scope of this service.
AI Knowledge Transfer & Team Enablement
Training outcomes depend significantly on participants' prior knowledge, engagement, and organisational support. Quantellis designs sessions thoughtfully to maximise relevance and retention, but cannot warrant specific post-training performance outcomes. Training materials developed for a specific organisation are for internal use only and may not be redistributed.
Disclaimers
Quantellis services are provided in good faith and with professional diligence. However, the following limitations apply:
- AI systems and research outputs carry inherent uncertainties. No specific business outcome, model performance level, or return on investment can be predicted or assured.
- Recommendations contained in feasibility studies or prototype documentation reflect conditions at the time of the engagement and should be reviewed in light of any material changes in the client's context.
- Quantellis does not provide legal, financial, or regulatory compliance advice. Clients are responsible for ensuring their use of AI systems complies with applicable Malaysian laws and regulations.
- The Quantellis website is provided for informational purposes. While we aim to keep content current and accurate, we make no representations about its completeness or timeliness.
Limitation of Liability
To the fullest extent permitted by Malaysian law, Quantellis' total liability for any claim arising from or related to a service engagement shall not exceed the total fees paid by the client for the specific project to which the claim relates.
Quantellis shall not be liable for any indirect, consequential, incidental, or punitive damages — including but not limited to loss of revenue, loss of data, or business interruption — even if advised of the possibility of such damages.
Nothing in these Terms limits liability for fraud, gross negligence, or wilful misconduct.
Force majeure: Quantellis will not be held in breach of its obligations where performance is prevented or delayed by circumstances beyond its reasonable control, including but not limited to natural events, utility outages, or government-imposed restrictions. We will communicate promptly and work collaboratively to minimise any impact on the client.
Termination
By the client: A client may terminate an engagement by providing written notice. Fees for work completed up to the termination date remain payable. We will provide a clear account of work completed and any outstanding deliverables.
By Quantellis: We reserve the right to terminate an engagement if: the client breaches these Terms and does not remedy the breach within 14 days of written notice; the project scope is materially changed without agreement; or the engagement would require Quantellis to act in a manner inconsistent with our professional or ethical standards.
Upon termination: Each party will return or securely destroy the other party's confidential information. Provisions relating to intellectual property, payment of outstanding fees, and confidentiality survive termination.
Dispute Resolution
Governing law: These Terms are governed by and construed in accordance with the laws of Malaysia, including the Contracts Act 1950 and other applicable legislation.
Jurisdiction: Any disputes arising from these Terms or a service engagement shall be subject to the exclusive jurisdiction of the courts of Malaysia, with Kuala Lumpur as the venue unless otherwise agreed.
Informal resolution first: Before initiating formal proceedings, both parties agree to make reasonable efforts to resolve disputes through direct discussion and, where helpful, mediation. Quantellis values ongoing professional relationships and will approach any disagreement with openness and good faith.
Clients may also seek assistance from the Tribunal for Consumer Claims Malaysia (Tribunal Tuntutan Pengguna Malaysia) for eligible consumer disputes.
General Provisions
Entire agreement: These Terms, together with any signed project proposal or statement of work, constitute the entire agreement between the parties regarding the subject matter herein, and supersede all prior understandings or representations.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
Waiver: Failure by Quantellis to enforce any provision does not constitute a waiver of the right to enforce it in the future.
Assignment: Clients may not assign their rights or obligations under these Terms without prior written consent from Quantellis. Quantellis may assign its obligations to a successor entity in the event of a business restructure, with notice provided to affected clients.
Changes to these Terms: Quantellis may update these Terms periodically to reflect changes in our services or applicable law. Clients will be notified of material changes via email or a website notice. Continued use of our services after such notice constitutes acceptance of the updated Terms.
